Service Agreements

Payment Terms

• Late payments may incur interest charges as permitted by law

Deposits and Cancellation

Liability and Limitations

Scope of Services

Night Shield Protected Security provides security services as outlined in service agreements. Our security personnel are trained professionals licensed by the State of Florida. However, clients understand and acknowledge that:

• Security services are preventive and deterrent in nature
• We cannot guarantee that criminal activity or security incidents will not occur
• Security personnel will respond appropriately to incidents within the scope of their training and authority

Limitation of Liability

To the fullest extent permitted by law, Night Shield Protected Security shall not be liable for:

• Loss or damage resulting from criminal acts of third parties
• Consequential, incidental, or indirect damages
• Losses exceeding the total amount paid for services during the applicable period

Our total liability for any claims arising from our services shall not exceed the amount paid by the client for the specific services giving rise to the claim.

Insurance

Night Shield Protected Security maintains appropriate insurance coverage, including general liability and professional liability insurance. Certificates of insurance are available upon request.

Confidentiality

We treat all client information as confidential and will not disclose sensitive information to third parties except:

• As required by law or legal process
• With client consent
• As necessary to perform services (e.g., providing information to security personnel)

Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Night Shield Protected Security or its content suppliers and is protected by intellectual property laws. Termination

By Client

Clients may terminate service agreements according to the notice period specified in the contract (typically 30 days written notice). Early termination may be subject to fees as outlined in the service agreement.

By Night Shield Protected Security

We reserve the right to terminate service agreements for:

• Non-payment of invoices
• Breach of contract terms
• Safety concerns for security personnel
• Requests for illegal or unethical services

Dispute Resolution

In the event of a dispute, parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation is unsuccessful, disputes may be resolved through mediation or arbitration as outlined in individual service agreements.

Governing Law

These Terms of Service and any service agreements shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Indemnification

Clients agree to indemnify and hold harmless Night Shield Protected Security, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Client's breach of these terms or service agreements
• Client's negligent or wrongful acts
• Client's failure to provide accurate information

Website Use

When using our website, you agree not to:
